Below are the processes of Business Formation in Kingdom of Bahrain.

All steps mentioned below is mandatory for Business Formation in Bahrain.

This is first step to start Business in Kingdom of Bahrain. In this step we applies for Security Clearance in Nationality, Passports & Residence Affairs (NPRA). They will do some background security checks including any cases or blacklist in Bahrain. This is normal procedure and normally it takes 2 – 5 working days if there is no cases against applicant.

If all the partners don’t have Valid Bahraini CPR than they need to provide Power of Attorney as well from Registered Notary in Bahrain or from Ministry of Foreign in Saudi Arabia for starting the process.

In this step we purposes 3 Business Names according to Business Activity to MOIC (Ministry of Industry & Commerce ) and they approves 1 Business name which is perfect according to your Business Activity and that name is available (not registered before in Bahrain).

In this process Ministry always checks Trade Marks as well. So any name which is not Comply with Rules & Regulation of MOIC will not be approved.

After approval of Name customer need to make payment to Print Initial CR (CR without License) and can start Obtain CR Process.

After Getting Initial CR without License we have to get Lease Agreement from Shop or Office owner/company. And we have to register that Lease Agreement with Municipality by Payment Registration Fee. After Lease Agreement is registered with Municipality we can move forward to EWA.

In this step we need to take appointment sometimes and sometimes we can register/request EWA connection from person’s Ekey. For this Step we have to submit complete documents to Authority including Meter Readings and Meter Photos with IBAN Certificate.

When Lease Agreement is ready and Electricity installed than we can proceed for Obtain License process. In this process we have to make Municipality Approval process payment as well. As well as Civil Defense (If required), Ministry of Health (if required), Ministry of Environment and any other required Ministries (if required).

Its very simple process and all ministries are doing their work perfectly within their given time-frame. If there is not any complexity maybe they will process it in same day.

After getting approval from all required Ministries. Customers need to prepare Memorandum of Association explaining share holder details, shares, duties, share capital and need to define other assets etc.

After getting approval for Memorandum of Association. It needs to be attested from Notary (either private or public). After attestation of Memorandum of Association we need to upload it for MOIC and perform next action.

After attestation of Memorandum of Association customers need to go to bank and submit all the required documents and sometimes bank asks to wait for verification purpose and after getting necessary approvals from central bank. Bank will process account opening and will required Capital Amount mentioned in Memorandum of Association to be submitted and after all formalities Bank will issue Capital Certificate which is required by MOIC (Ministry of Industry & Commerce ).

After approval of notarized Memorandum of Association Capital Deposit certificate. It will go to Final Approval in MOIC (Ministry of Industry & Commerce. After Final Approval customers need to make Final CR payment to Print Final CR.
